Trois sièges de dirigeants font face à un dossier réglementaire sur les marchés sud-africains

The Financial Sector Conduct Authority (FSCA) accuses three executives at Africa Bitcoin Corporation, formerly Altvest Capital, of coordinating trades that artificially supported the company’s share price in September 2022. The South African regulator has imposed combined fines of 10 million rand and a 20-year ban from the financial sector. All three are challenging the findings. Africa Bitcoin Corporation itself has not been sanctioned.

FSCA details four days of trading

The case adds to the initial sanctions against three Africa Bitcoin Corporation executives reported by Bref Crypto. The FSCA has now set out the core of its allegations: Warren Wheatley, Tatum Keshwar-Wheatley and Akshay Karan allegedly coordinated trades in Altvest shares between September 5 and 8, 2022.

According to the South African regulator, the trades created an artificially inflated price and a false or misleading appearance of demand, supply or activity in the stock.

At the time, Altvest had been listed on the Cape Town Stock Exchange for only a few months, and its shares remained thinly traded. In this type of market, relatively modest volumes can therefore have a greater influence on the quoted price and create a misleading impression of investor interest.

The FSCA believes the conduct breached Section 80 of the Financial Markets Act 2012, which specifically prohibits practices that create a false or misleading representation of activity in a listed security.

Penalties reach 10 million rand

The penalties are not divided equally.

Warren Wheatley and WGW Capital must jointly pay 5 million rand. WGW Capital held approximately 34% of Altvest at the time, and Wheatley carried out the trades through the company’s trading account.

Tatum Keshwar-Wheatley and Tatum Keshwar Investments have been fined 3 million rand. Her investment vehicle owned approximately 17% of Altvest’s share capital. Akshay Karan, meanwhile, faces a penalty of 2 million rand.

Total: 10 million rand.

The three individuals are also barred for 20 years from certain activities in South Africa’s financial sector. They are challenging the findings and plan to appeal to the Financial Services Tribunal. Unless the tribunal issues a suspension, the decisions remain in force.

The company’s response is already visible. Wheatley has stepped down from the board, while he and Karan have been placed on precautionary leave. Stafford Masie is now serving as interim chief executive.

The case comes as South Africa is also tightening its oversight of crypto activities and international transfers.

Bitcoin is not at the heart of the case

This timeline is worth emphasizing.

The sanctioned trades date back to September 2022. Altvest adopted its Bitcoin treasury strategy and the Africa Bitcoin Corporation identity several years later, in 2025. The regulatory case therefore concerns neither BTC purchases nor manipulation of the Bitcoin market.

That is the main point not to lose in headlines about the case.

Africa Bitcoin Corporation subsequently became the first listed African company to adopt a Bitcoin-focused treasury strategy. In May 2026, it joined the main market of the Johannesburg Stock Exchange. The JSE describes a model combining a Bitcoin treasury with lending to African SMEs.

The company recently held approximately 5.53 BTC, despite having set the much broader goal of raising up to $210 million to build its reserve. Its international expansion plans had already suffered a setback when its planned London listing was delayed.

The FSCA is particularly clear that no entity within the Africa Bitcoin Corporation group was sanctioned in these proceedings. The decisions concern the three individuals and certain investment companies linked to the 2022 trades.

For Crypto Africa, the case is therefore less about Bitcoin than about governance. A company can build a BTC treasury strategy while remaining subject to the same market-transparency requirements as any other listed company.
