Legal Crypto in the Seychelles: What the Status Must Prove

Talking about legal crypto in the Seychelles without specifying the activity can easily lead to a misleading answer. Holding an asset for yourself, selling a service to clients and operating infrastructure do not raise the same questions. The 2024 VASP framework governs professional activities and also sets out prohibitions that a simple business certificate cannot override.

Evaluating an offering therefore requires identifying the service, the company and its current status. This guide presents a method for reviewing sources, not personalized legal advice. It guarantees neither a local platform nor the absence of tax obligations. When a professional project remains difficult to classify, competent confirmation is worth more than a broad statement that crypto is authorized in the country.

In brief

  • The applicable rules depend on the activity and the role of the person involved.
  • A registered company does not automatically hold a service-provider license.
  • The transitional regime must be distinguished from a new application and from an issued license.

Legal crypto in the Seychelles: ask a sufficiently precise question

Start by describing what the actor does with the assets and for whom. The crypto platforms guide helps distinguish exchange, brokerage and custody. Someone buying for their own account does not necessarily present themselves as a provider serving the public. By contrast, receiving other people’s funds to act on their behalf may raise an authorization issue, even if the activity runs through an ordinary application.

The VASP law published by the Ministry of Finance governs the professional provision of virtual-asset services in or from the Seychelles. Section 5 sets out an authorization requirement and specific prohibitions. These provisions must be read alongside the definitions, covered activities and transitional rules. An isolated sentence is not enough to claim that every use of an asset follows exactly the same regime.

In your file, replace vague categories with facts: who receives the money, who controls the keys, who chooses the transactions and who is paid for the service? An activity described as “assistance” can cover very different functions. The commercial name given to a project does not determine its legal classification. The review must focus on how it actually operates, including actions carried out by a partner or related company.

Do not automatically transpose another country’s rules. A group’s headquarters, the client’s residence and the location from which the service operates may create separate questions. A foreign authorization does not become universal permission merely because it exists. Ask which text and which entity justify the offering concerned. If the explanation rests solely on an international reputation, an essential piece of the file is still missing.

Identifying expressly prohibited activities

Section 5 notably covers the operation of mining facilities and asset-mixing services in or from the country. The text also defines the terms it uses, including a mining facility as a commercial activity. This matters: the prohibition must neither be ignored nor mechanically extended to every conceivable technical action. An infrastructure project must be assessed according to its actual characteristics before it is presented as legal.

A hardware seller may focus its pitch on electricity, returns or equipment delivery. None of those factors resolves the project’s classification. Ask for regulatory checks before calculating profitability. An attractive financial projection does not compensate for a service whose legal basis for operation remains uncertain. The ability to buy a device does not show that its intended commercial use complies with the local framework.

The same caution applies to offerings that claim to make funds impossible to trace. Presenting them as privacy tools does not allow prohibited activities to be ignored. Do not look for a structure designed to conceal the nature of the service. The proper approach is to seek a classification and abandon incompatible functions, rather than artificially renaming them or placing them behind a provider whose role remains unclear.

These questions do not mean that every self-custodied wallet is prohibited. The distinction between holding your own assets and providing a service to third parties must remain clear. The crypto wallets guide explains the technical differences without replacing an analysis of the applicable law. For a project involving several functions, describe each one separately to the professional or authority you consult: a partial answer must not implicitly cover the entire arrangement.

Distinguishing a company’s existence from its authorization

A certificate of registration proves a fact about a company. It is not enough to prove authorization for a specific financial service. A license must correspond to the entity and the scope being claimed. When several companies use the same brand, the connection requires additional scrutiny. A document valid for another subsidiary must not be presented as proof that your contract benefits from the same regulatory framework.

The FSA’s VASP FAQ notably specifies which categories of companies can apply for a license and excludes individuals from applying. This does not mean that an eligible company automatically receives authorization. The ability to file an application, its review and the final decision are three separate stages. Advertising may blend them into a flattering formula; readers must separate them to understand the actual status.

The official VASP register notably includes files marked Assessment. That designation and the authority’s explanation of continued activity during the review must be understood as such, rather than turning an appearance on the page into a final license. An approval date appearing in an assessment section does not remove the need to read the status. This guide does not certify any operator based on a page heading alone.

To document your research, record the legal name, advertised service and date checked. Also keep the contract actually offered to the client. A change of entity or activity can make an earlier verification insufficient. The evidence must match the current transaction, not merely a company the seller once owned. If there is uncertainty, use an independent official channel to ask what the status actually permits.

Reading the transition without treating every file as a license

Section 42 of the law sets out transitional arrangements for the actors concerned when the framework began. It provides for an application by December 31, 2024, and for continued activity until a decision under the conditions it describes. The provision should not be reduced to either of two shortcuts: that every company under review is definitively licensed, or that every activity after that date necessarily lacks the right to operate.

A new offering must be assessed differently from an actor genuinely benefiting from the transitional regime. Ask which situation the company is relying on and what evidence supports it. A company cannot simply borrow another file’s history to claim the same status. The existence of an old timetable proves neither that a complete application was filed on time nor that no later decision was made in its own case.

The review must therefore remain current. An application may be subject to a decision or communication that changes the analysis. Consult the authority’s recent publications in addition to the register. An old screenshot may accurately describe a situation that no longer exists. It remains useful for understanding the history, but it does not replace checking the current position when you are considering entrusting funds to the same company.

For clients, this distinction has a practical consequence: ask for specific evidence rather than a binary answer. “Our file is still being processed” does not, by itself, describe the services the company may offer. A serious response must link the administrative position to the entity and the activity. If the seller refuses to provide details, uncertainty should not be turned into confidence simply because the word “transition” sounds official.

Reviewing other rules that may apply

A VASP question does not exhaust all the obligations attached to a transaction. Payment, anti-money-laundering, data-protection and tax rules may require separate analysis. The crypto KYC guide explains why customer verification is not a complete certification of the investment. Nor does it replace the authorization that the intermediary itself must demonstrate when it applies to its activity.

A payment through a bank or Mobile Money also remains subject to its own contract. The guide to mobile payments and cryptocurrencies helps distinguish the responsibilities involved. Technical acceptance of a payment does not show that the payment service guarantees assets delivered by a third party. It also does not prove that all terms of use and compliance requirements along the process were met.

Do not infer a tax exemption solely from an asset’s digital nature. Residence, activity and flows must be documented before reaching a conclusion about your situation. Keep records of acquisitions and disposals, then seek tailored advice if the circumstances require it. This guide does not publish an assumed tax rate or a universal rule applicable to every individual or company connected with the Seychelles.

Stablecoins also illustrate the need to classify the product and the service separately. A regulatory position on one category of token does not allow every commercial activity involving it to be presented as exempt. For a professional project, set out all the functions envisaged and seek a formal response when the scope remains uncertain. A half-understood rule can lead to the public being promised protection or a right that has not been demonstrated.

Building a useful review before transferring funds

Your file should contain four elements: a description of the activity, the contracting entity, proof of status and the commercial terms. These documents must describe the same transaction. Any mismatch between names, products or beneficiaries warrants clarification before payment. The crypto fees guide complements this review by showing why price cannot be analyzed independently of the quantity and service promised.

A document bearing an official emblem should never end the investigation. Documents can be copied, altered or linked to another entity. Verify their origin through the authority’s website, accessed independently from the messages received. A number presented as a license must be matched to a status and scope. If that cross-check fails, request official confirmation instead of accepting an improvised explanation in a private messaging thread.

Authorities and complaint procedures do not automatically promise a refund. Keep usable evidence and do not share any secret to file a complaint. A request for additional fees supposedly needed to make an activity legal or unlock a withdrawal must be checked separately. Professional-sounding language does not prove that the cited rule exists. A sound file helps identify the facts without handing control of your funds to a new intermediary.

The right question about legal crypto in the Seychelles is therefore: can this person carry out this activity, for this client, under these conditions? The sources help build that analysis; they do not provide a general assurance about the entire market. Any remaining uncertainty must stay visible in the decision. When the right to operate has not been established, interface quality and promises of returns are no substitute for evidence.
