Crypto Regulation in the Seychelles: Understanding the VASP Framework

Crypto regulation in the Seychelles is about more than issuing a licence. The 2024 VASP Act links authorised activity to governance, financial soundness, cybersecurity and oversight requirements. Understanding the framework means tracking obligations over time rather than treating initial authorisation as the end of all checks.

This perspective is relevant both to clients comparing services and to businesses preparing a project. It does not replace legal advice or consultation with the authority on a specific matter. This guide sets out the main questions to document without certifying any operator or summarising every applicable text. Professional obligations and the rights of asset holders should not be conflated.

In brief

  • The VASP framework covers professional activities and ongoing obligations.
  • A file’s status must be considered alongside its scope and any recent decisions.
  • Governance, operational risk and client protection remain separate from asset prices.

Crypto regulation in the Seychelles: start with the actual activity

The guide to platform selection criteria recommends breaking down functions before assessing a brand. The official VASP framework published by the FSA brings together the law, regulations and implementation documents. This structure shows why a project cannot be assessed by its label alone. Exchange, custody, brokerage and advisory services involve different roles that must be reviewed separately.

Describe the customer journey and each participant’s powers. Who receives the money, who decides on the transaction and who can move the assets? A function delegated to a partner does not disappear from the analysis. The contract should explain the relationship rather than forcing the client to guess which company provides the service. This mapping makes it possible to ask a sufficiently precise regulatory question and obtain a useful answer.

The law published by the Ministry of Finance is a starting point, but its provisions must be read alongside the relevant texts and guidance. Do not confuse an older consultation, a draft and an applicable rule. Several versions may coexist on a document portal to explain how the framework evolved. Check the title, date and nature of a document before assigning it a value it does not have.

For a business, this process should come before presenting the service commercially. A public promise may already suggest a status or capacity that the file does not demonstrate. For the client, it provides a straightforward question: which entity exactly carries out the advertised activity? The answer should be consistent across the contract, regulatory information and the identity of the beneficiary receiving the funds.

Understanding what substance and governance must demonstrate

The Act sets out substance and prudent management requirements, notably in Articles 13 and 14. Substance means more than an address placed in a footer. When assessing an offering, look for how the company presents its organisation and the people responsible. A post office box or administrative intermediary alone does not show where or how the service’s functions are actually performed.

The client is not responsible for carrying out a regulatory inspection. They can nevertheless request the information needed for their contract and identify visible inconsistencies. A service that repeatedly changes its company, country or point of contact without explanation creates a documentation problem. The size of a group does not eliminate that issue. A clear organisation should make it possible to identify who is responsible for the commitment made to the client.

Article 15 addresses, among other matters, integrity and fair treatment of clients. For your own review, compare the commercial message with the written terms. A promise of immediate withdrawals warrants checking the suspension scenarios; a product presented as simple should explain its constraints. The framework provides a point of reference for review, not a guarantee that every commercial page encountered actually complies with every obligation set out in the text.

Conflicts of interest should also be examined through the actual roles involved. An intermediary may participate at several stages of the customer journey and receive different forms of compensation. Ask how those interests are disclosed to the client and how the price is formed. The aim is not to automatically suspect every integrated service, but to understand what integration changes for your decision, the costs you bear and the genuine scope for comparison.

Separating financial soundness, insurance and guarantees of results

Article 16 provides for requirements relating to capital, solvency and insurance. These concepts are not interchangeable. Declared capital alone does not prove that all client funds are available, while insurance has its own scope and conditions. An offering should therefore not turn the existence of a regulatory requirement into a promise of universal reimbursement for every conceivable loss or incident.

Ask what actually protects your contractual relationship. Which entity holds the assets, and what conditions apply if difficulties arise? The crypto wallet guide distinguishes delegated custody from self-custody. That difference does not disappear because an operator invokes its regulatory status. Withdrawal capacity and ownership of the keys remain technical and contractual questions to examine for the specific service.

Financial statements and audits also have a defined scope. The law provides for audited accounts, but that does not allow readers to invent the outcome of a review they have not seen. Look for the period, entity and purpose of any public document. A report covering part of a group should not automatically be presented as certification of all accounts and assets offered under the same brand.

Market risk remains relevant. A properly organised provider may offer an asset whose value falls. Service compliance and whether a purchase is appropriate answer different questions. The guide to the full cost of a crypto purchase helps distinguish price, fees and quantity. No licence allows anyone to infer a future return or when a loss might disappear.

Reading cybersecurity as an operational obligation

Article 22 addresses cybersecurity measures and reporting. For clients, the useful focus is on the controls available and the procedures to follow in the event of an incident. Strong authentication, alerts or withdrawal rules may reduce certain risks without eliminating every vulnerability. The word “secure” should not replace an explanation of the actions you must take and the system’s limits.

Check your own access points: device, email address and recovery methods. A personal weakness may enable an action that a system interprets as authorised. Never share a code or password to speed up support. The KYC and data guide notes that an identification file and the ability to spend funds serve different purposes. Proof of identity must not become an excuse to request your secrets.

Technical risk also affects transfers. An asset, network and destination must be compatible. An interface that accepts an address does not automatically confirm that the transaction matches your intention. Before confirming, check the parameters against the appropriate official sources. A small test can verify one step, but it does not replace understanding the process or making a proper backup when you personally control the keys.

In the event of an incident, record the time, transaction and changes observed. A clear record helps distinguish user error, an account problem and an unrecognised transfer. Keep the documents without publishing them in full in a group. Seeking assistance should not give a second contact the access that the first incident may have compromised. A reliable procedure should work without asking for your complete recovery phrase.

Track status and changes instead of keeping a frozen record

The FSA’s VASP register distinguishes, among other categories, files under review. This status should be treated neither as a final licence nor as an automatic prohibition without considering the transitional explanation. Check the entity and recent publications that may change its status. A saved screenshot remains a historical record, not a permanent answer to every future decision concerning the same company.

The transitional regime provided for in Article 42 has its own conditions. Merely submitting an application does not justify claiming all the rights of an actor already covered by that provision. A serious analysis must establish the company’s situation and the applicable decisions. This check also avoids the opposite shortcut of presenting every file still under assessment as an activity that necessarily has no right to continue operating.

For an existing relationship, monitor changes affecting the contract: a new entity, a new product or new withdrawal terms. A change may require a fresh assessment even if the application keeps the same name. Visual continuity of the brand does not demonstrate legal continuity of the service. Keep useful versions and ask for an explanation when a transfer of responsibilities is presented as a mere formality.

This vigilance does not require reacting to every rumour. Start with official sources and verifiable contractual notices, then identify what actually affects your file. A forwarded message without a date can prompt a costly decision without providing evidence. Conversely, a precise communication from the authority should not be ignored simply because the service continues to operate technically. Accessibility and status remain two separate pieces of information.

Turning the framework into useful questions for clients

Prepare a short checklist covering the company, activity, status, custody, withdrawals and complaints procedure. Attach a source and date to important answers. The guide to mobile payments and crypto adds context when another operator is involved in settlement. An executed payment does not merge the responsibilities of the companies handling the money with those promising delivery of digital assets.

For stablecoins or a service combining several functions, do not infer the classification from a single marketing term. Instruments and activities may require different analyses. Present the complete operating model to the authority or an appropriate professional when the scope remains uncertain. A public interpretation must remain faithful to its limits; a seller should not extend it to every offering on its platform without additional justification.

The file should also address what happens when a condition is missing. An unavailable authorisation, contradictory contract or unexplained exit cannot be resolved by a lower price. Request the missing document before transferring funds. For a business, document the obligations before launching the service; for a client, base the decision on the protections actually demonstrated rather than relying on an assumed remedy that has never been identified.

Crypto regulation in the Seychelles therefore provides a framework for ongoing responsibility. It is not reducible to an image of a certificate or a promise of innovation. Its practical value lies in linking each activity to a company, obligations and controls. A reader who maintains those links can better assess offerings and changes without confusing the legal framework, demonstrated compliance and the absence of economic risk.
